TERMS AND CONDITIONS OF CONSUMER SALES

§ 1. Seller and scope of application

1. The Seller is ADAMANTA spółka z ograniczoną odpowiedzialnością z siedzibą w Lublinie, ul. Metalurgiczna 62, 20-234 Lublin, KRS (National Court Register) 0001078676, NIP (Tax Identification Number) 7123467638, REGON (National Business Registry Number) 527332151, share capital PLN 5 000 (hereinafter “we”/”us”/“our”). Contact: support@click2drop.eu or by mail to our registered office address.

2. These Terms and Conditions set out the rules for the sale of Goods to Consumers directly by us via our online Store, including the placements of Orders, payments, delivery, withdrawal from the contract, and complaints.

3. The provisions concerning Consumers also apply to a natural person who enters into a contract directly related to their business activity, provided that such activity is not professional in nature for that person, to the extent permitted by law.

4. These Terms and Conditions apply exclusively to contracts in which ADAMANTA sp. z o.o. acts as the seller. The provision of fulfillment services for another business entity does not make us a party to the contract concluded between that business entity and its customer.

5. The Terms and Conditions are available free of charge in a format that allows you to save, reproduce or print them.

§ 2. Definitions

1. “Store” means an online sales channel through which we offer Goods to Consumers. “Consumer” means a natural person entering into a legal transaction that is not directly related to their business or professional activity (“you”/”your”).

2. “Account” means an individual user panel, and “Goods” means items offered by us in the Store.

3. “Order” means a declaration submitted by you, aimed at concluding a sales contract for the Goods selected.

4. “Business Day” – a day from Monday to Friday, excluding statutory public holidays in Poland.

§ 3. Using the Store and Account

1. To use the Store, you need a device with Internet access, an up-to-date web browser that supports JavaScript and the necessary cookies, and an e-mail address to receive information regarding your Order.

2. The Account is maintained free of charge. You must provide correct data and keep your login credentials secure. To close your Account send a request to support@click2drop.eu; this does not affect the settlement of any prior Orders.

3. It is prohibited to provide unlawful content, use the Store in a manner that infringes upon the rights of third parties, or intentionally disrupt the security and functioning of the system.

4. Complaints regarding the Account and electronic services may be submitted to support@click2drop.eu. We will process them within 14 days of receipt.

§ 4. Information regarding Goods and prices

1. Before making a purchase, you receive information regarding the essential characteristics of the Goods, the gross price, applicable taxes, delivery costs, available payment methods, and the delivery timeframe.

2. Information regarding Goods in the Store is an invitation to enter into a contract within the meaning of Article 71 of the Civil Code, unless explicitly stated otherwise.

3. When announcing a price reduction, we state the lowest price of the Goods during the 30 days prior to the reduction, or provide information appropriate for the Goods offered for a shorter period or those that deteriorate or expire rapidly, in accordance with applicable regulations.

4. If the Store publishes reviews of the Goods, it provides information on whether and how it verifies their origin. Information regarding the paid search advertising and personalised pricing is disclosed if such practices are employed.

§ 5. Placing Orders and conclusion of a contract

1. You select the Goods, specify their quantity, provide a delivery address, and choose a payment method. Before confirming the order, you may review and correct the information and view the total amount to be paid.

2. You place an Order by clicking the button stating “I order and pay” or any other button with unambiguous wording indicating an obligation to pay.

3. We confirm receipt of the Order via email. A sales contract is concluded the moment you receive confirmation that the Order has been accepted, which is provided on a durable medium.

4. If the ordered Goods cannot be delivered, we will promptly notify you and offer a solution. Replacement of Goods requires your consent. In the event that the contract is not concluded or is terminated, you will receive a refund in accordance with applicable regulations.

§ 6. Payments and invoices

1. You make payment using a method available at the time of placing an Order. The Store may offer payment by card, including a card saved to your Account, as well as other electronic payment methods.

2. Payments are processed by the payment service provider specified during the purchase. Saving a card to your Account does not give us the right to collect any amounts that have not been agreed.

3. Proof of purchase is provided in accordance with applicable regulations. There is no requirement to issue consumer invoices via KSeF (National e-Invoice System). If an invoice is issued via KSeF on a voluntary basis, it will be made available to you in the manner prescribed by law.

4. Deferred payment under a Trade Credit Limit offered to business entities is not available for consumer purchases.

§ 7. Goods delivery

1. The delivery method, its cost, and the estimated delivery time are provided before an Order is placed. Unless a different timeframe has been agreed upon, we will deliver the Goods no later than 30 days from the conclusion of the contract.

2. The Goods may be dispatched from our warehouse or from a warehouse belonging to a logistics partner working with us. It is our responsibility to execute the delivery as agreed.

3. The risk of accidental loss of or damage to the Goods passes to you upon receipt by you or a third party you have indicated, other than the carrier. If you have chosen a carrier from outside the options we offered, the principles of Art. 548 § 3 of the Civil Code apply.

4. In the event that a shipment is damaged, you may prepare photographic documentation or a damage report. The absence of such a document does not limit your right to file a complaint.

§ 8. Withdrawal from the contract

1. You may withdraw from a distance sales contract, without providing a reason, within 14 days of receiving the Goods. In the case of Goods delivered separately, in batches, or in parts, this period is calculated from the receipt of the last item, batch, or part.

2. A statement of withdrawal may be sent via email to support@click2drop.eu or by post to our address. It is sufficient to send the statement before the deadline expires. You may use the template provided in the Returns Policy, although this is not mandatory.

3. You return the Goods no later than 14 days from the date of submitting the statement of withdrawal. The direct cost of returning the Goods is borne by you, unless we have agreed to cover this cost or applicable law provides otherwise.

4. We refund the payments received, including the cost of the least expensive standard delivery method offered at the time of purchase, no later than 14 days from the date of receipt of the statement of withdrawal. We may withhold the refund until we have received the Goods or until the proof of their return has been provided, whichever occurs first. The refund is made using the same payment method, unless you have agreed to a different method that does not involve any additional cost.

5. The detailed rules for requesting and executing a withdrawal from the contract, as well as a template, are set out in the Click2Drop Returns Policy.

§ 9. Exclusions from the right of withdrawal

1. The right of withdrawal does not apply in the cases specified in Article 38 of the Consumer Rights Act, including with respect to Goods manufactured according to your individual specifications, as well as certain sealed Goods that cannot be returned after opening due to health protection or hygiene reasons.

2. The exclusion of the statutory right of withdrawal applies only when the relevant legal conditions are met. In particular, the mere opening of the standard packaging does not mean that you lose your right of withdrawal.

§ 10. Complaints – non-conformity of the Goods with the contract

1. We are responsible for the conformity of the Goods with the contract, in accordance with the principles set out in Article 43a et seq. of the Consumer Rights Act. In principle, we are responsible for any non-conformity disclosed within two years of the delivery of the Goods.

2. In the event that the Goods do not conform to the contract, you may request repair or replacement, and, provided that the statutory requirements are met, a price reduction or withdrawal from the contract.

3. Complaints may be submitted via email to support@click2drop.eu or in writing to our address. You should specify the Order number, provide a description of the issue, and your requested resolution. A receipt or invoice is not strictly required to file a complaint, provided that the purchase can be verified by other means.

4. We will respond to a complaint within 14 days of its receipt. If we fail to respond within this period, the complaint is deemed accepted, in accordance with Article 7a of the Consumer Rights Act.

5. Repair, replacement, collection of the Goods, and other actions resulting from a valid complaint are carried out at our expense, in accordance with the law. The cost of returning the Goods, which is borne by you in the event of a standard withdrawal from the contract, does not apply to complaints regarding the non-conformity of the Goods with the contract.

6. If a warranty has been provided for the Goods, you may exercise your rights under the warranty independently of any statutory claims you may have against us.

§ 11. Feedback, contact, and notices

1. For matters concerning Orders, Account, payments, or complaints, you may contact us at support@click2drop.eu or by mail sent to our registered office address.

2. If the Store provides customer reviews, it discloses the rules for their publication and the method used to verify their authenticity. It is prohibited to post content that is unlawful or infringes upon the rights of third parties.

3. If the Store provides users with the ability to publish content, it complies with the obligations arising from Regulation (EU) 2022/2065 in relation to these features, to the extent necessary.

§ 12. Out-of-court dispute resolution

1. You may use the help of a consumer ombudsman, the Trade Inspection or a competent entity providing out-of-court resolution of consumer disputes.

2. Information regarding out-of-court dispute resolution is available at https://polubowne.uokik.gov.pl/. Our participation in any such proceedings is subject to the rules set forth by applicable law.

§ 13. Personal data and changes to the Terms and Conditions

1. The principles for processing personal data are set out in the Click2Drop Privacy Policy and the Click2Drop Cookie Policy, which are available on the website.

2. We may amend these Terms and Conditions for valid reasons, such as changes in the law, payment or delivery methods, the functionality of the Store, or security policies. We give notice of any changes affecting the Account agreement at least 14 days in advance, using a durable medium, unless applicable law requires an immediate action.

3. For Orders placed before the changes take effect, the Terms and Conditions in the version in force at the time the contract was concluded apply, with the exception of changes required by mandatory provisions of law.

4. These contracts are governed by Polish law, without prejudice to the protection afforded to you by the mandatory provisions of the law of your country of habitual residence. Disputes are settled by the court having jurisdiction in accordance with the applicable law.
